The affairs and business of the Corporation are managed by a Board of Directors.

Responsibilities of the Board

The Board of Directors has control and general management of the affairs and business of the Corporation. The Board of Directors makes decisions regarding the operation of the Soup Kitchen, including the disbursement of funds, as well as the purchase of equipment and decisions regarding the facilities in use by the Corporation. Day-to-day decisions, including those regarding employees, volunteers, and guests, as well as general decisions regarding the programs offered by the Soup Kitchen are made by the Executive Director.

Term of Office

The term of office for each of the Directors is three (3) years, and thereafter until his/her successor has been elected.

Vacancies

Vacancies in the board occurring between Annual Meetings are filled for the unexpired portion of the term by the concurring vote of a majority of the remaining Directors.
